2. This transaction was executed in multiple trades at prices ranging from $26.80 to $27.61. The price reported above reflects the weighted average sale price. The Reporting Person hereby undertakes to provide upon request to the SEC staff, the issuer or a security holder of the issuer full information regarding the number of shares and prices at which the transaction was effected.
3. Certain of these securities are restricted stock units. Each restricted stock unit represents the Reporting Person's right to receive one share of Class A Common Stock, subject to the applicable vesting schedule through May 20, 2022 or the day prior to the date of the Issuer's next annual meeting of stockholders. Timothy Regan, Bart Volkmer and Cara Angelmar, each the
undersigned's true and lawful attorney-in-fact and agent

Forms 3, 4 and 5 and other forms as such attorney shall
in his or her discretion determine to be required or
advisable pursuant to Rule 144 promulgated under the
Securities Act of 1933, as amended, Section 16 of the
Securities Exchange Act of 1934, as amended, and the
rules and regulations promulgated thereunder, or any
successor laws and regulations, as a consequence of the
undersigned's ownership, acquisition or disposition of
